Terms & Conditions

THESE CONDITIONS APPLY TO YOUR SALE OF GOODS TO MPRC Recycle (A TRADING NAME OF 20:20 LOGISTICS LIMITED). ALL OF THE TERMS THAT ARE AGREED BETWEEN YOU AND THE MOBILE PHONE REPAIR COMPANY LIMITED SHOULD BE SET OUT IN THESE CONDITIONS AND THE RELEVANT ORDER. IF YOU FEEL THAT THESE DOCUMENTS DO NOT ACCURATELY REFLECT YOUR UNDERSTANDING OF WHAT HAS BEEN AGREED, YOU SHOULD LET THE MOBILE PHONE REPAIR COMPANY LIMITED KNOW SO THAT ANY APPROPRIATE AMENDMENTS CAN BE MADE. IT WILL BE MORE DIFFICULT FOR YOU TO ENFORCE A TERM THAT YOU THINK HAS BEEN AGREED IF IT IS NOT AGREED IN WRITING.

  1. Meanings

    Certain words used in these Conditions have specific meanings. Where they do, they appear in bold text. A list of these words is set out below.

    "Administration Charge"

    means a charge of £5.00 for the return of the Goods to you.

    "Conditions"

    means these terms and conditions.

    "Contract"

    means the agreement between you and Supplier which is made up of the Order and these Conditions.

    "Delivery Address"

    "Goods"

    means the mobile phone handset(s) detailed in the Order.

    "Order"

    means your order placed on the Website once it has been accepted by Supplier.

    "Price"

    means the price for the Goods detailed on the Website or, if there is no price on the Website, the price for the Goods calculated according to Supplier's published price list on the date you placed your Order.

    "Requirements"

    means the requirements for the Goods as set out at the end of these Conditions.

    "Supplier"

    means 20:20 Logistics Limited (company number 4833552) of:

    Weston Road,
    Crewe,
    Cheshire,
    CW1 6BU

    "we" "our" and "us"

    refer to you and Supplier together and "it" refers to either one of us.

    "Website"

    means the website located at http://www.mprc.co.uk/recycle

    "you" and "your"

    refer to the person whose details appear in the Order.

  2. Orders, cancellation and variation

    1. When placing your Order you understand you are agreeing to these Conditions. The Contract will be formed when Supplier sends you a confirmatory e-mail in accordance with Condition 3.1.

    2. If you wish to change your Order you must do so in writing to Supplier.

    3. Supplier shall not be obliged to accept any change, but if Supplier does accept the change, Supplier will be entitled to recover from you any unavoidable losses that it suffers as a result of the change and to alter the Price as a condition of accepting the change. Such losses may include the Administration Charge if Supplier has sent you a freepost bag.

    4. In addition to your cancellation rights under Condition 9.2 you are entitled to cancel your Order (if the Price has not already been paid) at any time during the seven (7) working days after the day on which your Goods are delivered to Supplier by writing to Supplier at the Delivery Address.

    5. Supplier may make changes to these Conditions from time to time. No such change will apply to your sale of the Goods unless Supplier told you about that change before you placed the Order.

      YOU SHOULD NOT ASSUME THAT, IF YOU SELL GOODS TO SUPPLIER ON MORE THAN ONE OCCASION, THESE CONDITIONS WILL BE THE SAME FOR EACH SALE AND YOU SHOULD READ THESE CONDITIONS CAREFULLY EACH TIME YOU SELL GOODS TO SUPPLIER.

    6. The Prices are subject to change at any time without notice. When the Contract is formed, the Price quoted is guaranteed for a period of fourteen (14) days (unless the Goods do not meet the Requirements as described in Condition 5) after which, updated Prices may apply to the same Goods.

  3. Delivery

    1. Upon receipt of your Order, Supplier will send you a confirmatory e-mail and a freepost bag.

    2. You are responsible for sending the Goods to the Supplier in the freepost bag.

    3. Supplier does not accept responsibility for non-delivery of Goods or any damage in transit to the Goods and it is recommended by Supplier that any high value Goods are sent via registered post to the Delivery Address.

  4. Ownership and risk

    1. Save as set out in Condition 5.3, Supplier will become the owner of the Goods when Supplier has sent the Price to you.

    2. The risk of loss of or damage to the Goods will pass to Supplier upon safe delivery to the Delivery Address and you should insure the Goods prior to that time.

  5. Requirements

    1. You shall indicate at the time of submitting your Order which set of Requirements the Goods relate to. Upon receipt of the Goods Supplier shall either:

      1. confirm the Goods comply with the Requirements stated in your Order by way of e-mail and arrange for the Price to be sent to you within fourteen (14) days of such e-mail;

      2. notify you that the Goods do not comply with the Requirements stated in your Order, in which case Supplier shall offer you a revised Price for the Goods by way of e-mail; or

      3. notify you that the Goods fail to meet any of the Requirements, in which case Supplier will notify you by way of e-mail and shall offer you an option to have the Goods returned by Supplier.

    2. You have fourteen (14) days from the date of the e-mail referred to in Condition 5.1.2 above to accept the revised Price. If Supplier does not receive any acceptance from you within the fourteen (14) day period, you will be deemed to have accepted the revised Price which will be sent to you. If you notify Supplier of your non-acceptance of the revised Price, Supplier shall send the Goods back to you and Supplier will be entitled to invoice you the Administration Charge which is payable by you within thirty (30) days of the date of the invoice.

    3. You have forty five (45) days from the date of the e-mail referred to in Condition 5.1.3 above to accept the option by notifying Supplier and Supplier shall send the Goods back to you (and Supplier will be entitled to invoice you the Administration Charge which is payable by you within thirty (30) days of the date of invoice).  If Supplier does not receive any acceptance from you within the forty five (45) day period, ownership in the Goods shall pass to Supplier who shall be entitled to, without limitation, dispose of such Goods as it sees fit.

    4. All decisions as to whether Goods meet Requirements shall be at Supplier's sole discretion (acting reasonably).

  6. About you

    1. You shall ensure that:

      1. you are legally entitled to sell the Goods to Supplier;

      2. you are resident in the United Kingdom;

      3. you are at least eighteen (18) years old; and

      4. you are legally capable of entering into a binding contract.

  7. Your responsibilities

    1. You shall:

      1. cancel any airtime contracts linked to or associated with the Goods;

      2. remove any SIM cards from the Goods prior to sending the Goods to Supplier; and

      3. remove any personal details, SMS, photos, games, songs, ring tones or other data from Goods prior to sending the Goods to Supplier.

    2. To the extent you do not remove any personal details from the Goods prior to sending the Goods to Supplier you consent and give Supplier permission to access the Goods for the purpose of erasing, deleting or wiping any personal details from them to the extent reasonably necessary.

  8. Liability

    1. Supplier shall not be liable:

      1. where you have sent Supplier any SIM cards or any personal data, SMS, photos, games, songs, ring tones or other data which are wiped or destroyed by Supplier; nor

      2. for any call costs relating to the Goods.

    2. Nothing in the Contract seeks to exclude or limit Supplier's liability for death or personal injury caused by negligence.

    3. Except under Condition 8.2 neither of us will be liable to the other for any loss or damage suffered or incurred by the other in relation to the Contract unless it is as a result of negligence or, at the time the Contract was entered into, that loss was a reasonably foreseeable consequence of the breach or default in question.

  9. Events beyond Supplier's control

    1. Supplier will not be liable for any failure to perform its obligations under the Contract to the extent that such failure is due to circumstances beyond its reasonable control. In such circumstances Supplier may suspend performance of its obligations until such time as it is able to perform.

    2. If any such suspension continues for a period in excess of one month, you may cancel the Order and Supplier shall return any Goods.

    3. If you choose not to cancel the Order in accordance with Condition 9.2 or if the suspension does not continue for a period in excess of one month then the Supplier shall notify you of a new date for payment of the Price.

    4. Supplier works with "Immobilise", a crime protection database that blocks stolen mobile phones. Supplier checks that Goods sent to it are not reported stolen. Supplier reserves the right to withhold/cancel payment of the Price if there are any related issues and you agree to co-operate with Supplier and any authorities should Supplier so request.

  10. Termination

    1. Supplier may terminate the Contract immediately at any time if you:

      1. commit a serious breach of the Contract which you fail to remedy within ten (10) days of being required to do so by Supplier; or

      2. become bankrupt or insolvent,

      in which case Supplier may retain the whole or any part of the Price, without prejudice and subject to any other right you may have.

    2. You may terminate the Contract immediately at any time in the event that Supplier commits a serious breach of the Contract which it fails to remedy within ten (10) days of being required to do so by you or if it becomes insolvent.

    3. The termination of the Contract will not affect any rights or liabilities that you or Supplier may have at the date of termination.

  11. Transfer of rights

    Neither you nor Supplier may sub-contract, transfer or assign any rights and/or obligations under the Contract without the other's prior written permission.

  12. Notices and communications

    If Supplier needs to write to you or serve a notice on you, it will do so by first class post sent to your address detailed on the Order. If you need to write to Supplier or serve a notice on Supplier you should do so by first class post to Supplier's address detailed on the Order. Supplier will notify you in this way if it changes its address and you must notify Supplier in this way if you change your address. Any notice or communication sent by either of us in this way will be presumed to have been received by the other two (2) days after the day on which the notice or communication was posted.

  13. General

    1. If either of us chooses not to enforce any right that it may have under the Contract it will not be prevented from relying upon that right should it choose to do so at a later date.

    2. If a court or other regulatory body decides that any part of the Contract is not enforceable, the remaining parts the Contract will still apply to your sale of and Supplier's purchase of the Goods.

    3. The Contract only gives rights to and places obligations upon you and Supplier. No other person or company has any rights under the Contract or may enforce it against either of us.

    4. The Contract is governed by English law and disputes under it will be decided in the courts of England or, if you live in Scotland, Wales or Northern Ireland, the law and courts of the relevant part of the United Kingdom.

  14. Statutory rights

    These Conditions are drafted for consumer customers and, if you are a consumer, these Conditions do not affect your statutory rights.

Requirements

Goods sold should match the make and model in your Order and meet the following Requirements:

Working

Full list Price

  • In full working order with a battery
  • Must turn on and off
  • Must be fully functional
  • The screen must be working and intact
  • The battery must be included
  • Must not be crushed or water-damaged

Non-Working

Reduced list Price

  • Badly damaged casing
  • No battery
  • Does not power up
  • Operating system missing or corrupt
  • Broken/missing aerial
  • Faulty keypad
  • SIM Gate broken or missing
  • Memory card holder broken or missing
  • Pin locked
  • Must not be crushed or broken

Fails to meet Requirements

Zero Value

  • Physically broken in more than one piece
  • Broken/Cracked/Snapped hinges
  • SIM glued in
  • Memory card glued in
  • Logged on the IMEI blacklist register**
  • Barred by a network**

These Requirements are not exhaustive and Supplier reserve the right to amend this list at any time.
**Goods under these Requirements may also be reported to the authorities

Supplier accepts phone battery chargers and accessories as part of the Goods but these shall not increase the Price in anyway.
